About the Role

IDFC FIRST Bank is seeking a skilled Legal Counsel to join its Legal team in Mumbai. This role requires hands-on experience in drafting and negotiating complex IT and service-related contracts while guiding internal stakeholders on legal risks, compliance, and post-execution processes. The ideal candidate will play a key role in protecting the bank’s interests in strategic partnerships and vendor engagements.

Key Responsibilities

Contract Drafting & Review:

  • Draft, review, and negotiate a wide range of contracts including:
    • Software Licenses (On-Prem, SaaS, PaaS)
    • Master Service Agreements (IT & General Services)
    • Data Processing & Information Security Agreements
    • UPI, BBPS, FIP/FIU, and API Integration Agreements
    • Hardware Procurement & Data Centre Contracts
    • Business Correspondent, Referral Agreements, NDAs, MoUs
  • Provide legal analysis and advice on contractual matters with a focus on IT, digital platforms, and technology services.

Legal Advisory & Compliance:

  • Offer legal insights on banking regulations and evolving compliance frameworks.
  • Collaborate closely with cross-functional teams including Risk, Compliance, TPRM, Procurement, and IT.
  • Support internal policy updates and ensure adherence to regulatory changes.

Strategic Support:

  • Identify and mitigate legal risks in business ventures and partnerships.
  • Coordinate with external legal advisors on complex legal matters or dispute resolutions.
  • Ensure effective legal checks are in place through the contract lifecycle.

Required Skills

  • Strong legal research and analytical capabilities
  • Expertise in IT contracts and vendor negotiations
  • Knowledge of regulatory frameworks relevant to banking and financial services
  • Excellent communication and stakeholder management skills
  • Ability to manage multiple priorities and meet tight deadlines
  • Proficiency in interpreting and simplifying complex contract language

Qualifications

Education:

  • Bachelor’s or Master’s degree in Law from a recognized university

Experience:

  • 5 to 10 years of relevant legal experience, preferably in IT contracting and banking/financial services
